Terms and conditions

Before work begins, we confirm scope, deliverables, timeline, price, and responsibilities in a quote, order, or contract. Requirements outside the agreed scope are reviewed and priced separately.

These terms apply exclusively to contractual relationships between businesses. They form part of a contract if a quote, order, or contract refers to them, or if they were made available to the client before the contractual relationship was formed and the client accepted them together with the applicable quote or order.

The version effective when the contractual relationship is formed applies to the relevant project. A later change to these terms does not amend an existing contract without agreement between the parties.

Prices shown on the website are estimates unless a written quote or contract states otherwise. Invoicing, the deposit amount, and payment due dates are specified in the applicable quote or contract.

If the client is late with payment, DAVOND may, after notice, suspend work, deployment, support, or handover of the relevant deliverables and reasonably adjust the schedule. This does not affect any entitlement to statutory late-payment interest or recovery costs.

Submitting a contact form or attending an initial consultation does not by itself create a contract or an obligation to order. A contractual relationship begins only when the client accepts a specific quote and DAVOND confirms the engagement, a contract is signed, or another expressly agreed method that allows the content of the agreement to be demonstrated is completed.

Project delivery and the agreed timeline begin only after all materials and access required to start the project have been provided and the deposit stated in the quote has been credited, unless the quote or contract states otherwise.

A delay by the client in providing materials, access, decisions, approvals, or feedback extends the schedule by at least the length of that delay. DAVOND may reasonably reschedule delivery based on the team's current availability. Scope changes and dependencies on third parties may affect both price and timing.

The client provides required materials, access, decisions, and feedback within agreed timeframes. Changes affecting scope, price, or schedule are implemented only after approval; approval by email or in an agreed project tool is sufficient unless the project agreement states otherwise.

The client is responsible for having the right to use and provide DAVOND with all text, photographs, logos, data, software, and other materials. The client is also responsible for their accuracy, currency, and legal compliance unless DAVOND expressly undertakes responsibility for reviewing a specific area.

We hand over deliverables in the manner agreed in the quote or contract, including by making them available online, sending a link, granting access, or delivering files. Unless another period is agreed, the client reviews the deliverable within 15 business days and reports specific, reproducible functional defects that cause it not to conform to the approved specification.

If the client does not report such defects within the acceptance period or starts using the deliverable in production, the deliverable is deemed accepted. Minor defects that do not prevent ordinary use do not delay acceptance. Requests that change approved functionality, design, content, or scope are not defects and are treated as additional work.

Unless a quote or contract expressly states otherwise, DAVOND retains the economic rights, or the authority to exercise the economic rights, in deliverables created for the project and grants the client a non-exclusive licence. The standard arrangement is a licence, not an assignment of economic rights.

The licence becomes effective only after all amounts relating to the applicable deliverable have been paid in full. Once effective, it is unlimited in time and territory and allows the client to use the deliverable for the agreed business purposes, modify it, and have it operated, maintained, or modified by third parties for the client's own needs. Separate resale, rental, or licensing of the deliverable to third parties is permitted only where it follows from the project's purpose or a separate agreement.

Until full payment, the client does not acquire a licence to deliverables created by DAVOND for the project unless expressly agreed otherwise. This does not apply to materials and rights supplied by the client or to third-party components.

Source code, development files, working drafts, and internal tools are included in the handover only where the quote or contract expressly states so.

The client's licence does not cover general know-how, development methods, tools, templates, libraries, generic modules, or components created or used by DAVOND independently of the specific project. DAVOND may continue to use them in other projects. Open-source software and other third-party materials remain subject to their own licence terms.

Unless expressly agreed otherwise, the client agrees that, after the project is published or deployed, DAVOND may identify the client and project in its portfolio, references, and presentations, including the client's name and logo, a brief project description, and examples of publicly available or client-approved deliverables. DAVOND will not disclose confidential information, personal data, or the client's non-public business information for this purpose.

Unless the project agreement states otherwise, for 30 days after acceptance DAVOND will remedy, without additional charge, reproducible functional defects that cause the deliverable not to conform to the approved specification. This warranty period does not cover new requirements, content changes, misuse, interference by the client or third parties, or changes to browsers, operating systems, infrastructure, platforms, APIs, libraries, or other third-party services.

Operations, maintenance, response times, security updates, and post-launch support are included only where expressly stated in the quote, service agreement, or contract.

Both parties protect non-public commercial, technical, and organisational information obtained during the engagement and use it only to deliver the project. The client is responsible for having the right to provide materials, data, and access to us.

We may use suitably bound subcontractors for specialist work or infrastructure. Where we process personal data on the client's behalf, the scope and conditions are governed by a separate data-processing agreement.

DAVOND does not guarantee a particular commercial, marketing, sales, financial, traffic, or other business result unless that result is expressly agreed as a measurable obligation.

To the extent permitted by applicable law and unless the project agreement states otherwise, DAVOND's total liability for foreseeable loss relating to a project is limited to the amount actually paid by the client for the part of the project from which the loss arose. To the same extent, DAVOND is not liable for loss of profit, loss of business opportunity, expected savings, or indirect or consequential loss. This limitation does not apply where mandatory law does not permit it.

The project price does not include licences, hosting, domains, cloud services, paid libraries, AI services, payment gateways, external APIs, plugins, or other third-party services unless the quote expressly states otherwise. The client pays these costs directly or DAVOND recharges them as agreed.

Licences, prices, availability, and terms of third-party services may change and are governed by their operators. Changes, restrictions, or outages outside DAVOND's control may affect the solution's scope, price, schedule, or operation, and DAVOND is not responsible for them.

Where a party materially breaches its obligations, the affected party may terminate the contract after a reasonable cure period expires without remedy, unless applicable law or the project agreement permits immediate termination. The client may also request early termination without a breach by DAVOND; the financial settlement is then governed by this section and the project agreement.

On termination, the client pays for work completed up to the termination date, approved additional work, and non-refundable or already committed third-party costs. Deposits paid are credited against those amounts. DAVOND hands over deliverables and access for which the relevant fees have been paid in full; any remaining balance of the deposit after settlement is returned to the client.

A party is not responsible for delay caused by an obstacle outside its reasonable control while that obstacle continues, provided it informs the other party of the impact without undue delay.

Business-to-business relationships are governed by Slovak law, in particular the Commercial Code. The parties will first try to resolve disputes through negotiation; court jurisdiction and any alternative dispute mechanism are defined in the specific contract.

If these terms conflict with a signed contract or accepted quote, the contract prevails, followed by the quote. A differing term prevails only to the extent of the specific conflict. Invalidity or unenforceability of one provision does not affect the remaining provisions.
